Corporate Governance is the allocation of authority, roles and responsibilities within a company.
Since inception Emitarif Group has operated on the basis that good Corporate Governance is good business and adherence to high standards of corporate governance in accordance with international best practice creates long term value for all stakeholders. Accordingly, Emitarif Group has adopted a corporate governance structure which is appropriate for its size, business profile and status (including appropriate controls, documented policies and procedures, and fit and proper individuals); but which also takes into account the fact that it is currently a private unlisted company.
Corporate Governance Principles
Accountability
The Board is the ultimate decision-making body and is accountable to the shareholders for the overall performance of the firm and delivery of corporate objectives. Senior management is accountable to the Board for setting the detailed plans and internal arrangements to deliver the corporate plans.
Responsibility
Senior Management is responsible for setting the Tone from the Top which includes developing detailed allocations of responsibility to ensure a clear segregation of roles and responsibilities and developing structural and procedural arrangements such as systems, policies and procedures which promote good governance and regulatory compliance.
Transparency
Transparency and high ethical standards both internally and externally ensures strong compliance with operating standards and creates an environment of trust and respect which further enhances the reputation of the firm.
Risk Management
A key component of the Corporate governance arrangements is that every element must ensure that the firm has effective risk management systems in place to identify, control and mitigate risk, and that these arrangements are kept under constant review.
Corporate Governance Structure
Shareholders
Shareholders are the ultimate controllers and beneficiaries of the firm, with the right to appoint, remove or replace the Board of Directors.
Board of Directors
The Board of Directors is the supreme governing body of the firm, providing strategic direction, leadership and oversight and all important matters are reserved for Board approval. The Board of Directors reports to the Shareholders.
Board Committees
Board Committees are smaller groups (including Board members) which are delegated with responsibility on specific topics by the Board and who report to, advise and make recommendations to the Board. Emitarif Group includes Board Committees for effective decision-making, Saudi business and set-up, and nomination and remuneration.
AGM Board and Committees
Emitarif Global Markets has its own Board of Directors and Board Committees, to which Emitarif Group has delegated certain responsibilities and relies on in terms of the management, oversight and supervision of the Emitarif Global Markets business and certain Emitarif Group matters. Emitarif Global Markets includes Board Committees for management, remuneration, audit, risk and technology.
AIP Board and Committees
Emitarif Investment Partners has its own Board of Directors and Board Committee, to which Emitarif Group has delegated responsibilities and relies on in terms of management, oversight and supervision of the Emitarif Investment Partners business and certain Emitarif Group matters. Emitarif Investment Partners includes Board Committees for investment decisions and oversight of invested transactions.
